Terms of Service

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 15) THAT AFFECT YOUR LEGAL RIGHTS. BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Robert Alec Jenis, doing business as Vers.us ("Vers.us," "we," "us," or "our"), governing your access to and use of the Vers.us mobile application (the "App"), the website located at www.playvers.us (the "Website"), and all related services, features, content, and functionality (collectively, the "Service").

By creating an account, accessing, or using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (incorporated herein by reference), and any additional guidelines, rules, or policies we may publish from time to time. If you do not agree to these Terms, you must immediately cease all use of the Service.

1. Eligibility

The Service is intended for individuals who are at least thirteen (13) years of age. By using the Service, you represent and warrant that you are at least 13 years old. If you are between the ages of 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service. We reserve the right to request proof of age or parental consent at any time and to suspend or terminate accounts that we reasonably believe to be operated by individuals under the age of 13.

Eligibility for real-world prizes offered through sponsored battles or brackets is limited to individuals who are at least eighteen (18) years of age and who reside in jurisdictions where such prizes are not prohibited by law. Prize fulfillment is void where prohibited or restricted by applicable law.

2. Account Registration and Security

To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including your full name, email address, username, date of birth, and profile avatar. You agree to update your account information promptly to keep it accurate and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@playvers.us of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

You may not create more than one account per person. You may not create an account on behalf of another individual without their express authorization. You may not use another person's account without their permission. We reserve the right to suspend or terminate accounts that violate these restrictions.

3. Description of the Service

Vers.us is a 1v1 social battle platform where users submit original, one-take photo and video content to compete in head-to-head battles judged by public voting. The Service includes, but is not limited to: user-created battles and friend battle invitations; featured and sponsored battles and brackets; a public voting system; a virtual currency system ("v$"); a premium subscription service ("Vers+"); user profiles, rankings, leaderboards, and badge systems; and related community features.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you. We do not guarantee that the Service will be available at all times or that it will be uninterrupted, timely, secure, or error-free.

4. User Content

4.1 Your Content

"User Content" means any photos, videos, images, text, comments, votes, and other materials that you submit, post, upload, or otherwise make available through the Service. You retain ownership of your User Content, subject to the license grants described below.

4.2 License Grant to Vers.us

By submitting User Content to the Service, you grant Vers.us a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content, in whole or in part, in any media format and through any media channel now known or hereafter developed, for the purposes of operating, promoting, and improving the Service, including but not limited to: displaying your content within battles and on the platform; featuring your content in App Store listings, social media, marketing materials, press, and promotional campaigns; and any other use in connection with the Service.

4.3 License Grant to Sponsors and Brand Partners

By participating in any sponsored battle, sponsored bracket, or brand-partnered competition, you grant the sponsoring brand or organization a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and create derivative works from your submitted User Content in connection with their marketing, advertising, and promotional activities. This license survives the termination of your account or the conclusion of the sponsored event. Participation in sponsored events is voluntary, and you acknowledge this license grant as a condition of participation.

4.4 Representations and Warranties Regarding User Content

By submitting User Content, you represent and warrant that:

4.5 Content Retention After Account Deletion

If you delete your account, your account information will be removed from the Service. However, User Content you submitted as battle entries (including photos, videos, and associated metadata) will be retained to preserve the integrity of completed battles, historical results, and the experience of other users who participated in or voted on those battles. Such retained content may continue to be displayed within the Service.

4.6 No Obligation

We are under no obligation to host, display, or distribute any User Content, and we may remove or refuse to display any User Content at our sole discretion and without notice. We do not guarantee that your content will be featured, promoted, or receive any minimum number of votes or any particular level of visibility.

You agree not to engage in any of the following prohibited activities:

We reserve the right, in our sole discretion, to determine whether any conduct violates these Terms and to take any action we deem appropriate, including the actions described in Section 6.

6. Enforcement and Account Termination

We employ both automated (AI-driven) and human moderation to review User Content and enforce these Terms. Users may report content or other users through the in-app reporting mechanism, and all reports are reviewed by human moderators.

Enforcement actions may include, without limitation, any or all of the following, depending on the severity of the violation:

In the event that your account is permanently terminated for violation of these Terms, you will forfeit your entire v$ balance, any unused Vers+ subscription benefits, and any other virtual items or rewards associated with your account. No refunds, compensation, or restitution will be provided for forfeited virtual currency, subscriptions, or other items.

We reserve the right to escalate enforcement actions without following a progressive discipline model where the severity of the violation warrants immediate action, including but not limited to violations involving prohibited content as described in Section 5.

We may terminate or suspend your account at any time, for any reason or no reason, with or without notice. You may terminate your account at any time by contacting us at support@playvers.us.

7. Virtual Currency (v$)

7.1 Nature of Virtual Currency

v$ is a virtual currency used exclusively within the Service. v$ has no real-world monetary value and does not constitute currency, property, or a stored-value instrument under any applicable law. v$ is a limited, revocable, non-transferable, non-refundable license to use a digital item within the Service.

7.2 Acquisition

v$ may be acquired through (a) purchase via Apple's In-App Purchase system using real currency, (b) earning through participation in battles, voting, and other platform activities, and (c) promotional grants at our sole discretion. The methods, rates, and availability of v$ acquisition are subject to change at any time without notice.

7.3 Use

v$ may be used within the Service to enter certain battles, activate boosts, purchase cosmetic items, and access other features as we may offer from time to time. v$ required for specific features may change at any time.

7.4 No Cash Value; No Cash-Out

v$ cannot be exchanged, redeemed, or converted into real-world currency, credit, or any other form of monetary value. You may not sell, trade, barter, or transfer v$ to any other person or entity, whether inside or outside the Service. Any attempt to do so is a violation of these Terms and may result in immediate account termination and forfeiture of all v$.

7.5 Refund Policy

All purchases of v$ are final and non-refundable, except as required by applicable law. Because v$ purchases are processed through Apple's In-App Purchase system, any refund requests must be submitted directly to Apple in accordance with Apple's refund policies. Vers.us has no obligation to provide refunds for v$ purchases under any circumstances, including but not limited to account termination, suspension, changes to the Service, or discontinuation of the v$ system.

7.6 Modification and Termination

We reserve the right to manage, regulate, modify, or eliminate v$ at any time, with or without notice. We shall have no liability to you or any third party in the event that we exercise any such rights. If we discontinue the v$ system, we will provide reasonable notice but will not be obligated to provide refunds or compensation for any unused v$.

8. Vers+ Premium Subscription

Vers+ is a premium subscription service available through Apple's In-App Purchase system at the then-current subscription price. Vers+ provides access to premium features as described within the App, which may change from time to time at our discretion.

Subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours before the end of the current period. You may manage and cancel your subscription through your Apple ID account settings. Refunds for subscription payments are governed by Apple's refund policies.

We reserve the right to modify the price, features, or availability of Vers+ at any time. Price changes will not affect the current billing cycle but will apply upon renewal. We will provide reasonable notice of material changes to the subscription.

From time to time, we may offer sponsored battles, branded brackets, or other competitions that include real-world prizes, merchandise, or other rewards in addition to or in lieu of v$. Sponsored events may be subject to additional rules, terms, or eligibility requirements that will be disclosed at the time of the event.

Eligibility for real-world prizes is restricted to individuals who are at least eighteen (18) years of age and who reside in jurisdictions where such prizes are permitted by law. Winners may be required to provide additional information (such as a mailing address or tax identification number) to claim prizes. Failure to provide required information within the specified timeframe may result in forfeiture of the prize.

Prize fulfillment is void where prohibited or restricted by applicable law. We reserve the right to substitute prizes of equal or greater value at our sole discretion. All taxes on prizes are the sole responsibility of the winner. We make no warranties regarding any prizes provided by third-party sponsors.

Rankings, winners, and rewards may be adjusted or revoked in cases of fraud, abuse, cheating, or technical errors. Our determinations regarding sponsored events are final and binding.

10. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all software, code, designs, text, graphics, logos, trademarks, icons, images, audio, video, data compilations, and the selection and arrangement thereof) are owned by Vers.us, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in or to the Service or any content on the Service, other than the limited right to use the Service in accordance with these Terms. All rights not expressly granted herein are reserved.

The Vers.us name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vers.us. You may not use such marks without our prior written permission.

11. Copyright Infringement and DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. § 512, we will respond to proper notifications of claimed copyright infringement that are received by our designated agent.

11.1 Filing a DMCA Takedown Notice

If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please provide our designated agent with the following information in writing:

11.3 Counter-Notification

If you believe that your User Content was removed or disabled as a result of mistake or misidentification, you may submit a written counter-notification to our designated agent containing: (a) your physical or electronic signature; (b) identification of the material that has been removed and the location at which the material appeared before it was removed; (c) a statement under penalty of perjury that you have a good-faith belief that the material was removed as a result of mistake or misidentification; and (d) your name, address, telephone number, and a statement that you consent to the jurisdiction of the federal court in the district in which your address is located (or, if outside the United States, the Eastern District of New York) and that you will accept service of process from the person who provided the original notification.

11.4 Repeat Infringers

It is our policy to terminate the accounts of users who are repeat copyright infringers in appropriate circumstances, as determined by us in our sole discretion.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERS.US DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, VERS.US DOES NOT WARRANT THAT:

Battles and all competitive features of the Service are provided for entertainment purposes only. Vers.us makes no representations or warranties regarding the fairness, accuracy, or integrity of any voting, ranking, or competitive outcome, and all such outcomes are subject to adjustment or revocation in cases of fraud, abuse, or technical error.

Your use of the Service is at your sole risk. We are not responsible for any content posted by users or for any interactions between users. Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERS.US, ITS OWNER, AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF VERS.US ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO VERS.US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VERS.US HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vers.us, its owner (Robert Alec Jenis), and any future affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising from or related to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

15. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

15.1 Agreement to Arbitrate

You and Vers.us agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Vers.us (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. The Federal Arbitration Act, 9 U.S.C. §§ 1-16, governs the interpretation and enforcement of this arbitration provision.

15.2 Arbitration Rules and Procedures

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by this Section. The AAA Rules are available at www.adr.org. If the AAA is unavailable, the parties will mutually agree on an alternative arbitral forum. If the parties cannot agree, a court of competent jurisdiction will appoint an arbitrator.

The arbitration will be conducted by a single arbitrator. The arbitration will be held in New York, New York, or at another mutually agreed location, or by videoconference if both parties agree. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Arbitration Fees

If your claim does not exceed $10,000, Vers.us will pay all arbitration filing fees, administration fees, and arbitrator fees associated with the arbitration, unless the arbitrator finds the claim frivolous. If your claim exceeds $10,000, the parties will share the arbitration costs as determined by the AAA Rules. Regardless of the outcome, each party will bear its own attorneys' fees and costs, unless the arbitrator awards fees and costs to the prevailing party where authorized by applicable law.

15.4 Class Action Waiver

YOU AND VERS.US AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND THE DISPUTE SHALL PROCEED IN COURT.

15.5 Opt-Out

You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out to legal@playvers.us within thirty (30) days of the later of (a) the date you first created your account on the Service, or (b) the Effective Date of these Terms. Your notice must include your name, username, email address associated with your account, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, neither you nor Vers.us will be required to arbitrate disputes, and both parties retain the right to bring claims in court.

15.6 Survival

This arbitration provision survives the termination of your account and these Terms.

16. Governing Law and Jurisdiction

These Terms and any Disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law provisions. To the extent that litigation is permitted under these Terms (including if the arbitration provision is found unenforceable), you and Vers.us agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Nassau County, New York.

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the App, by email, or by other reasonable means at least thirty (30) days prior to the changes taking effect. The "Last Updated" date at the top of these Terms indicates when they were last revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
